These Terms of Service ("Terms") govern access to and use of the Orion Marketing application (the "App"), provided by Orion Lending ("Orion"). By accessing or using the App you agree to these Terms. If you do not agree, do not use the App.
1. Eligibility & Authorized Use
The App is provided exclusively for use by Orion Lending employees and affiliated independent advisors who have been issued credentials by Orion. You may not share your credentials, transfer your account, or permit any third party to use the App on your behalf.
2. Permitted Activities
You may use the App to:
- Compose, submit, and schedule social-media content within Orion's compliance policies.
- Connect Facebook Business Pages and Instagram Business accounts you are authorized to manage.
- Access Orion-approved branding, templates, and marketing assets.
- Book and attend Orion-sponsored video recording sessions.
3. Prohibited Activities
You may not:
- Post content that is false, misleading, deceptive, or that violates federal or state financial-services regulations (including UDAAP, RESPA, TILA, fair lending, and FTC rules).
- Make unsubstantiated rate, APR, or approval claims, or any guarantees regarding loan outcomes.
- Bypass or attempt to circumvent the Compliance review workflow.
- Connect a personal Facebook profile, a Page you do not have authority to manage, or any competitor's account.
- Reverse engineer, scrape, or extract data from the App outside of features Orion provides.
- Use the App to harass, defame, or post discriminatory content.
4. Compliance Review
All user-submitted content is subject to Compliance review. Orion may approve, reject, edit, hold, or remove content at its sole discretion. Approval of a post is not a legal endorsement and does not transfer regulatory liability away from the user.
5. Connected Social Accounts
When you connect a Facebook Page or Instagram Business account, you grant Orion permission to publish posts and read post-level engagement data on your behalf, subject to Meta's Platform Terms. You may disconnect any account at any time from the Connected Accounts page. Orion is not responsible for content that remains on Facebook or Instagram after disconnection.
6. Intellectual Property
Orion and its licensors retain all rights to the App's software, design, brand assets, and templates. You retain ownership of original content you upload, but you grant Orion a non-exclusive license to host, display, modify (for compliance and formatting), and publish it through the App as you direct.
7. Account Termination
Orion may suspend or terminate access at any time for violation of these Terms, separation from Orion Lending, regulatory request, or operational necessity. Upon termination, connected social tokens are revoked and your account is deactivated; audit records are retained as described in our Privacy Policy.
8. Disclaimer of Warranties
The App is provided "as is" and "as available," without warranties of any kind, express or implied. Orion does not warrant that the App will be uninterrupted, error-free, or that third-party platforms (Facebook, Instagram) will accept or display any submitted content.
9. Limitation of Liability
To the maximum extent permitted by law, Orion shall not be liable for any indirect, incidental, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising out of use of or inability to use the App.
10. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles. Exclusive jurisdiction lies in the state and federal courts located in Dallas County, Texas.
11. Changes
Orion may update these Terms from time to time. Continued use of the App after changes are posted constitutes acceptance.
